Terms of Service
Last updated: October 27, 2026
These Terms of Service (the "Terms") govern your use of the website at covenantsupply.com (the "Site") and the advertising and marketing services (the "Services") provided by Covenant Supply LLC ("Covenant Supply," "we," "us," or "our"), a limited liability company organized under the laws of the State of South Carolina. By using the Site or engaging our Services, you agree to these Terms.
1. Our Services
Covenant Supply provides advertising and marketing services, which may include paid media management, creative production, email and lifecycle marketing, landing page development, analytics and reporting, and strategy and consulting. The specific scope, deliverables, timeline, and fees for any engagement are set out in a written proposal or statement of work agreed with the client (a "Proposal"). Where a Proposal conflicts with these Terms, the Proposal controls for that engagement.
2. Engagement and Proposals
An engagement begins when a client accepts a Proposal in writing. Each Proposal describes the work to be performed and any assumptions or exclusions. Work outside an agreed Proposal is handled through a new or amended Proposal before it begins.
3. Fees and Payment
- Fees are stated in the applicable Proposal and are invoiced as described there (for example, monthly in advance for retainers, or by milestone for projects).
- Unless a Proposal states otherwise, invoices are due within fifteen (15) days of the invoice date.
- Advertising spend and third-party platform or software costs (for example, media budgets paid to advertising platforms) are separate from our fees. Where possible these are billed to accounts owned by the client; where we pay them on a client's behalf, they are passed through at cost and invoiced separately.
- Fees are exclusive of any applicable taxes, which are the client's responsibility.
- Amounts not paid when due may be subject to a reasonable late fee and may result in work being paused until the account is current.
4. Cancellation and Refunds
- Retainers. Month-to-month retainers may be cancelled by either party with written notice as stated in the Proposal (by default, fifteen (15) days before the next billing period). Fees for the current period are earned and are not refundable once work for that period has begun.
- Projects. For fixed-scope projects, any deposit reserves our time and covers work performed. If a project is cancelled before completion, we will invoice for work performed up to the cancellation date and refund any prepaid amount that exceeds that work.
- Results. Fees are for the services performed, not for a specific outcome. We do not offer refunds on the basis of campaign performance. See Section 8.
5. Client Responsibilities
To do our best work, we rely on the client to provide, in a timely way, the materials, access, approvals, and information we need. The client is responsible for the accuracy and legality of the products, offers, and claims it asks us to promote, and for holding any licenses or rights required for materials it provides to us.
6. Third-Party Platforms
Our Services often involve third-party advertising platforms and tools (for example, Meta, Google, and TikTok). Those platforms are controlled by their providers and governed by their own terms and policies. We are not responsible for a platform's decisions, pricing, outages, policy changes, or actions taken against an account, including suspensions or disapprovals, that are outside our control.
7. Intellectual Property
Upon full payment of the fees for a given deliverable, the client owns the final creative deliverables we produce specifically for that client under the applicable Proposal. We retain ownership of our own pre-existing materials, methods, templates, and know-how, and may use general skills and experience gained during an engagement. The client grants us a limited license to use its names, logos, and materials as needed to perform the Services.
8. No Guarantee of Results
Advertising and marketing results depend on many factors outside our control, including the client's product, pricing, market, and the policies of advertising platforms. We perform the Services with professional care, but we do not guarantee any specific level of sales, leads, revenue, return on ad spend, or other results.
9. Limitation of Liability
To the fullest extent permitted by law, Covenant Supply will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue, arising out of or relating to the Services or these Terms. Our total liability for any claim relating to an engagement will not exceed the fees paid to us for the Services giving rise to the claim during the three (3) months before the event that is the subject of the claim.
10. Indemnification
The client agrees to indemnify and hold Covenant Supply harmless from claims arising out of the client's products, offers, or materials, or the client's breach of these Terms, except to the extent caused by our own negligence or misconduct.
11. Confidentiality
Each party will keep the other party's non-public business information confidential and use it only to perform or receive the Services. This does not apply to information that is public, already known, or required to be disclosed by law.
12. Term and Termination
These Terms apply while you use the Site or while any engagement is active. Either party may terminate an engagement as described in the applicable Proposal or Section 4. Sections that by their nature should survive termination (including fees owed, intellectual property, limitation of liability, and confidentiality) will survive.
13. Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. The state and federal courts located in South Carolina will have jurisdiction over any dispute, unless an applicable Proposal states otherwise.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Changes apply to use of the Site after they are posted and to engagements entered into after that date.
